Pakistan's Banking Landscape Shifts: Silkbank Shareholders Approve Merger with United Bank

In a move aimed at strengthening its position in the Pakistani banking sector, United Bank Limited (UBL) has taken a significant step forward with the approval of Silkbank's shareholders for a merger. The decision, subject to regulatory clearances from the State Bank of Pakistan and the Competition Commission of Pakistan, paves the way for Silkbank to become part of UBL's operational framework.

At an Extraordinary General Meeting held on December 26, 2024, Silkbank's shareholders voted in favor of the amalgamation, which involves UBL issuing new shares to Silkbank's stakeholders in the ratio of 1:325. This decision comes on the heels of the bank's financial statements revealing a negative equity of Rs 13.9 billion, falling short of the minimum capital requirement of Rs 10 billion. The merger is expected to have far-reaching implications for both banks, potentially revitalizing Silkbank's operations and enhancing UBL's market share.

However, not everyone is pleased with the proposed merger. Park View Enclave (Private) Limited has filed a suit in the Sindh High Court, challenging the proposed amalgamation and seeking to overturn the decision made by UBL's board of directors. Despite these obstacles, the approval by Silkbank shareholders remains a significant milestone, underscoring UBL's determination to expand its presence in the Pakistani banking market.
